PRENUPLY LTD TERMS OF SERVICE Effective Date: 01/03/2026 Last Updated: 01/03/2026 These Terms of Service (“Terms”) govern your use of the Prenuply platform and related services. Please read them carefully before placing an order. By placing an order or using the platform, you agree to be legally bound by these Terms.

  1. About Prenuply Prenuply Ltd (“Prenuply”, “we”, “us”, “our”) operates a technology platform that facilitates the preparation of prenuptial agreements by coordinating administrative services and introducing users to independent qualified solicitors. Prenuply is not a law firm and does not provide legal advice. All legal advice is provided solely by independent solicitors under separate retainer.

  2. Eligibility To use the platform you must: Be at least 18 years old Have legal capacity to enter into a binding contract Provide accurate and complete information Be entering into the agreement voluntarily We reserve the right to refuse service where eligibility criteria are not met.

  3. Orders and Contract Formation 3.1 Placing an Order An “Order” is your request to purchase Prenuply’s platform and administrative services through our website. 3.2 Contract Formation After you place an Order, we will send an order confirmation email. The contract between you and Prenuply is formed when we send that confirmation. 3.3 Right to Reject We reserve the right to reject any Order before acceptance, including where: Payment cannot be authorised You do not meet eligibility requirements A solicitor cannot act due to conflicts or regulatory restrictions If payment has been taken and we reject your Order, we will refund you promptly.

  4. Scope of Services Prenuply provides: A structured online financial disclosure questionnaire Administrative coordination Introduction to independent solicitors Scheduling support Secure document distribution Prenuply does not: Provide legal advice Act as a law firm Supervise or control solicitor advice Guarantee enforceability of any agreement The legal retainer exists solely between you and your appointed solicitor.

  5. Independent Solicitors Solicitors engaged through the platform: Act independently Owe professional duties to you, not Prenuply Conduct their own conflict and regulatory checks May decline to act for regulatory or professional reasons Prenuply is not responsible for: The content of legal advice Strategic decisions made by the solicitor The outcome or enforceability of any agreement Nothing in these Terms creates a partnership, agency, or employment relationship between Prenuply and any solicitor.

  6. Fees and Payment 6.1 Total Fee The standard fixed fee is £1,500 inclusive of VAT (where applicable). Discount codes may reduce the total fee. The initial payment remains £750 unless expressly stated otherwise. 6.2 Payment Structure £750 payable upon contract formation Remaining balance payable prior to release of the final agreement and certificates Final documents will not be released until full payment is received. 6.3 Failed Payments and Chargebacks If a payment fails or is subject to chargeback after services have commenced: We may suspend access We may recover proportionate fees for services performed We may recover reasonable administrative costs

  7. Your Right to Cancel (Consumer Contracts Regulations 2013) 7.1 Cooling Off Period You have 14 days from the date of contract formation to cancel without giving a reason. 7.2 How to Cancel You must notify us by clear written statement to: [email protected] 7.3 Starting Services Within 14 Days By completing the questionnaire or booking a solicitor meeting within the 14-day period, you expressly request us to begin services immediately. 7.4 Refunds If you cancel before services begin, you receive a full refund. If you cancel after services have begun at your request, you must pay a proportionate amount reflecting work completed up to cancellation. 7.5 Loss of Cancellation Right Your right to cancel ends once the services are fully performed. Services are considered fully performed when: Both solicitor meetings have taken place; and The final agreement and certificates have been prepared and made available for release Refunds will be issued within 14 days using your original payment method.

  8. Revisions The service includes one set of revisions following delivery of the initial draft. Revision requests must be submitted within 7 days. Additional revisions may incur additional fees.

  9. Material Changes If there is a material change in financial disclosure or circumstances: We may: Pause the matter Require updated disclosure Treat the matter as a new instruction Additional solicitor meetings may require an additional fixed fee.

  10. Timelines Timelines are indicative only. Delivery depends on: Complete and accurate disclosure User responsiveness Solicitor availability Regulatory checks We are not liable for delays caused by factors outside our reasonable control.

  11. User Responsibilities You agree to: Provide full and accurate disclosure Respond promptly to reasonable requests Act in good faith Not misuse the platform You must keep login credentials secure. You must not: Attempt to interfere with the platform Bypass payment mechanisms Submit fraudulent information Initiate improper chargebacks

  12. Reasonable Care and Skill We will provide our platform and administrative services with reasonable care and skill. If services are not provided with reasonable care and skill, you may request that we: Repeat the service; or Provide an appropriate price reduction where repetition is not possible This does not apply to legal advice provided by independent solicitors.

  13. Limitation of Liability Nothing in these Terms excludes liability for: Death or personal injury caused by negligence Fraud or fraudulent misrepresentation Any liability which cannot lawfully be excluded Subject to the above: Prenuply’s total liability shall not exceed the total fees paid. We are not liable for: Indirect or consequential losses Loss of profit Loss of opportunity Court decisions regarding enforceability Legal advice provided by solicitors Users are responsible for losses arising from knowingly false or fraudulent information provided.

  14. Force Majeure We are not liable for failure or delay caused by events beyond our reasonable control, including: Regulatory changes Internet or hosting failures Payment processor outages Illness or unavailability of solicitors Acts of government

  15. Suspension and Termination We may suspend or terminate access if: You breach these Terms You provide false information Regulatory requirements prevent continuation Where termination occurs, fees payable will reflect services already performed.

  16. Intellectual Property All platform content and branding remain our property. You may not reproduce or distribute materials except for personal use.

  17. Governing Law These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  18. Entire Agreement These Terms, together with our Privacy Policy, Cookie Policy and Complaints Procedure, constitute the entire agreement between you and Prenuply.
